The Role of the Board of Directors.

Strategic management and corporate governance 

The Company’s Board of Directors plays a pivotal role in steering the long-term business strategy and achieving the operational goals of the Company. Their responsibility encompasses overall control and decision-making, ensuring alignment with Codified Law L.4548/2018 and the Articles of Association. The Board also upholds the highest standards of corporate governance, ensuring compliance with key principles that safeguard the integrity and transparency of our operations. 

The Board of Directors convenes at the necessary intervals as part of its strategic planning process to perform its key duties effectively. 

The role and responsibilities of the Board of Directors are summed up as follows: 

  • Supervision and monitoring: Overseeing Company operations to ensure that business goals and long-term plans are met and implementing controls to maintain operational effectiveness. 

  • Strategic Formulation: Defining and refining the Company’s core values and objectives and ensuring  that  the adopted strategy aligns with these goals. 

  • Conflict of Interest Management: Ensuring that no conflict of interests arise and addressing any deviations from the confidential information policy. 

  • Financial Oversight: Verifying the accuracy and reliability of the Company’s Financial Statements before they receive final approval from the Ordinary General Meeting. 

  • Daily Operations: Facilitating the daily execution of business activities through a structured authorization system, and managing other responsibilities through specific decisions.

The current Board of Directors consists of 10 members: 4 executive members (including the Vice-chairman), 3 non executive members (including the Chairman of the Board), and 3 Independent non-executive members).
